Welcome to NEGOTIATOR® Platform!

1.1 Purpose

The Platform connects buyers with real estate professionals (NEGOTIATORS®) who offer exclusive buyer representation under a performance-based compensation model (Inverse Commission™).

1.2 Eligibility

• Be at least 18 years old and legally able to enter into a binding agreement.
• Be seeking to purchase real estate within the service areas covered by NEGOTIATOR® Platform.

1.3 Voluntary Use

Using the platform is optional. If you do not agree with the platform’s business model or services, you are free to seek alternative services.

2.1 What Data We Collect

When you use our platform, we may collect the following:

• Personal Information: Name, email, phone number, and address.
• Account Information: Login credentials (stored securely using AWS Cognito).
• Transaction Data: If you engage with a NEGOTIATOR®, we may collect offer and transaction details.
• Usage Data: Device type, IP address, cookies, and browsing behavior on our platform.

2.2 How We Protect Your Data

We take reasonable steps to secure your data:

• Password Security: We use AWS Cognito for authentication. Even our platform cannot access user passwords.

• Payment Security: We do not collect or store credit card information. Payments are securely processed via Stripe Checkout. All transactions occur directly on Stripe’s secure servers.

• Data Encryption: We use SSL encryption and other best practices to secure sensitive data.

2.3 Data Sharing & Third Parties

We do not sell your data. However, we may share information with:

• Real estate professionals (NEGOTIATORS®) to facilitate transactions.
• Payment processors (Stripe) for secure payments.
• Legal authorities if required by law or for fraud prevention.

2.4 User Control Over Data

• Account Deletion: You may delete your account anytime via platform settings. In this case all your personal data will be deleted from all related platforms of Realtyna Inc; including RealtyFeed, NEGOTIATOR®, MLS Systems built on RealtyFeed infrastructure, MMCEPI and more. The data that is related to your purchases or communications with 3rd parties related to negotiation activities will be retained as a reference in case of disputes or court orders.
• Anonymized Data Retention: We may retain non-personal usage data for analytics.

3.1 Platform Notifications

By using the platform, you agree that we may send you notification emails regarding:

• Property matches, updates, and transaction-related communications.
• Service announcements and platform changes.

3.2 Managing Email Preferences

You can control your email notifications at any time through your account settings.

3.3 No Liability for Notification Errors

While we strive for accuracy, you indemnify the platform from any claims arising from unwanted, delayed, or erroneous email notifications due to system bugs or human error.

4.1 Business Model Overview

The Paris Paradigm™ model and Inverse Commission™ structure are described on parisparadigm.com.

4.2 No Legal Claims Against the Platform

• You acknowledge that you understand the business model before using the platform.
• You waive any legal claims against the platform for disputes related to its structure, compensation models, or service methodologies.

4.3 No Liability for Third-Party Actions

The platform is not responsible for the actions, advice, or services provided by real estate professionals, payment processors (Stripe), or other third parties.

5.1 Updates to Terms & Privacy Policy

• These Terms & Privacy Policy may be updated at any time without notice.
• The latest version will be available on the platform, and continued use constitutes acceptance of updates.

5.2 Platform & Workflow Changes

• The platform reserves the right to update workflows, business models, and services at any time.
• Users may experience new features, modified workflows, or changes in service offerings.

6.1 Service Provided “As-Is”

The platform is provided “as-is” and “as-available”, without any guarantees regarding availability, reliability, or suitability for your needs.

• The platform provides an MLS Verification System that allows agents, brokers, and brokerage offices to verify their professional status.
• However, we do not have access to comprehensive resources to verify all agents, brokers, or brokerage offices across all jurisdictions.
• We do not guarantee the accuracy, completeness, or current validity of any agent’s or brokerage office’s professional license status, including renewals, disciplinary actions, or regulatory compliance.
• Future Enhancements: We plan to enhance our verification capabilities in future platform updates, but at this time, verification remains limited.

Buyer’s Responsibility:

• Check with local licensing authorities to confirm an agent’s or brokerage office’s legal standing.
• Request proof of licensing, certifications, and brokerage affiliation before entering into any agreement.
• Conduct independent due diligence before making any financial commitments.

6.3 No Liability for Misrepresentation or Licensing Issues

• The platform is not liable for any claims, disputes, losses, or damages resulting from a buyer’s reliance on an agent’s or brokerage office’s claimed credentials.
• Any engagement between buyers and real estate professionals is strictly between the parties involved, and the platform shall bear no responsibility for misrepresentation, unlicensed activity, expired licenses, or any regulatory violations.

6.4 No Guarantees on Real Estate Transactions

The platform does not guarantee successful property purchases, savings, or any specific outcomes from using a NEGOTIATOR®.

6.5 Waiver of Claims

By using the platform, you waive any claims against the platform for:

• Disputes arising from real estate transactions.
• Any changes in business models or service structures.
• Any damages resulting from interactions with third parties.

7.1 Current Pricing Model

At this time, buyers do not pay any fees to use the platform or engage a NEGOTIATOR®.

7.2 Future Changes

The platform reserves the right to introduce service fees in the future.

8.1 Governing Law

These Terms are governed by the laws of the state of Delaware, United States.

8.2 Dispute Resolution

• Any disputes must first be attempted to be resolved through good faith negotiations.
• If unresolved, disputes will be settled through binding arbitration or mediation, as permitted by local laws.
